Professional Background and Accomplishments
Ms. Wade is an experienced commercial and transactional attorney, with over twenty-four years of corporate in-house experience at three Fortune 100 oil and gas companies (Atlantic Richfield Company, BP, and Andeavor (formerly Tesoro Corporation). At Andeavor, Ms. Wade served as Associate General Counsel and was responsible for managing all aspects of legal support for the marketing organization. In addition, during her over thirty-one years of practice, Ms. Wade served as Associate General Counsel with DineEquity, Inc., the Applebee’s Neighborhood Grill & Bar® and IHOP® brands franchisor, and as Counsel with the former government contractor, Litton Industries.
Ms. Wade has handled a wide variety of transactional matters, including franchise agreements, complex off-take and supply agreements, vendor and service contracts, purchase and sale agreements, joint venture agreements, transportation agreements, and real property and lease agreements. In addition, Ms. Wade completed international marketing transactions and negotiated and drafted complex commercial development agreements for all aspects of first-of-a-kind low carbon power generator, including carbon dioxide off-take agreement, power purchase agreements, technology license agreements, design, engineering and construction agreements, and real estate agreement, as well as a $408 million Cooperative Agreement with the U.S. Department of Energy.
Ms. Wade’s specialties include alternative energy projects, pipeline and gathering systems, franchising, the Petroleum Marketing Practices Act, and regulations concerning antitrust, anti-bribery, and corruption.
Ms. Wade began her legal career with the international law firm of Bryan Cave, LLP as an Associate. From there, she began her in-house career as Counsel with Litton Industries. Ms. Wade joined Atlantic Richfield Company (ARCO) as Counsel and was promoted to Senior Counsel and Team Lead after BP acquired ARCO. During her tenure with BP, Ms. Wade supported the Refining, Marketing, Lubricants, and Alternative Energy businesses. In connection with BP’s sale of most of its West Coast Marketing assets to Tesoro Corporation, Ms. Wade left BP and joined DineEquity, Inc. as Associate General Counsel. Following completion of sale to Tesoro/Andeavor, Ms. Wade was asked to return to manage the Marketing Legal function where she served as Associate General Counsel until shortly before its acquisition by Marathon Petroleum Company. Currently, Ms. Wade provides legal support for an oil and gas pipeline and gathering systems company and provides her expertise to organizations venturing into the fuel business.
